Founded more than 25 years ago, LPA is one of the leading independent law firms in France. MAIN INTERNATIONAL AREAS OF PRACTICE: Banking & Finance law The Banking & Finance team offers a large panel of services, including advice and assistance in banking deals or market transactions. It assists its clients in every aspect of financing transactions, from the structuring and negotiation to the drafting of the documentation, like securities. It also provides a well-known experience in negociating and assisting credit institutions for the treatment of any difficulty that may arise in the relations with their clients (prevention as well as litigation). Litigation & Arbitration : The clients of the Litigation & Arbitration department include major French groups, mid-cap companies, banks and insurance companies. Most of them are long-term clients, the result of the trust relationship that the team strives to build with them. In addition to general commercial litigation, the team is mainly specialized and highly recognized in the following areas: professional civil liability (public notaries, financial intermediaries, banks, stockbrokers, insurance brokers) and industrial risks liability. The team developed a niche activity of shareholders and private assets management disputes in connection with private assets management professionals. Mergers & Acquisitions : The M&A department is focused on industrial deals (companies and private equity funds). The team provides legal representation for French and international industrial groups, financial institutions and investment firms, both listed and unlisted, that operate in a variety of financial and industrial sectors. Its experience also extends to small and mid-cap transactions. The M&A department mainly provides advise in the formation of joint ventures, strategic alliances and partnerships and in the drafting and negotiation of shareholders’ agreements and other cooperation agreements. Tax law : The Tax team’s areas of expertise cover all of clients’ business sectors: corporate, real estate, banking, finance and asset management. The Tax team assists French and foreign clients with the tax aspects of all their important business decisions. The objective is to secure transactions at the fiscal level while optimizing the applicable taxation. The tax options proposed are always devised in conjunction with legal teams to ensure their feasibility and coherence with the overall project. Labour law : The labour law department assists and represents companies with complex strategic operations and in connection with day-to-day human resources management, providing advice and representation before all courts that settle employment or social security disputes. Its main clients are French and international groups of various nationality (Germany, UK, USA, the Benelux, Spain, Arabian Gulf States,…), senior executives and CEOs as well as SMEs/ SMIs in different business sectors including finance, real estate, media, luxury industry, insurance, industry, telecommunication, hotels, distribution, associations… Real Estate law : With 25 years of experience, the real estate department is widely recognised as one of the leader in the real estate sector. The team advises French and international banks, insurance companies, listed property companies and investment funds on the drafting of their contracts and the acquisition of property. The real estate department has extensive experience of all real estate sectors: commercial property, offices, industrial premises, hotels, leisure or residential property. It regularly advises government authorities and public bodies on legislative and regulatory reform. In addition, it has formed privileged relations with trade federations and plays an active role at major meetings of market players. Worldwide offices Maghreb offices: Algiers – Casablanca LPA ‘s offices in Algiers (opened in 2007) and Casablanca (opened in 2008) have been providing clients with specialised legal services based on an in-depth understanding of local administration and an extensive knowledge of local networks and institutions. LPA’s office in Algeria is staffed by French and Algerian lawyers. The Algiers office offers significant experience in start-ups and inward investment, coordination with the Algerian administration, corporate affairs, banking and finance, real estate, the public sector, IP/IT and privatisation. The results achieved by this office in a very short period of time clearly point to a promising future of cross-border investment. The Casablanca office is highly regarded locally in the banking and insurance sectors. Asia offices: Shanghai – Hong Kong – Guangzhou LPA’s Shanghai office covers the northern part of China, with the Guangzhou and Hong Kong offices catering to the south. Through this Asian structure, LPA’s goal is to provide customised services to European and American companies, helping them to set up and develop their business in China. The firm’s bicultural team members are specialised in foreign investment and business law, with vast experience of cross-border projects, mergers and acquisitions, tax planning, labour disputes, intellectual property and retail and wholesale operations. This experience is the result of the long-standing and extensive practice of LPA’s Hong Kong based team within the Chinese business world in the area of corporate, commercial and distribution law. Germany offices : Frankfurt In 2011, Lefèvre Pelletier & associés opened an office in Frankfurt to assist German, French and international clients with the legal and tax aspects of their investments. The office's partners who specialise in taxation work closely with the Franco-German team based in Paris. The members of the Franco-German team are fluent in French, German and English. The Franco-German team assists German clients with their investments in France, and French clients in Germany; but there is also synergy with Lefèvre Pelletier & Associés' other worldwide offices.
