Founded in 1973, Epstein Becker & Green, P.C. Business Law EBG acts as general counsel to private and public companies engaged in a wide variety of industries and business activities. The Business Law practice has extensive experience representing middle-market and emerging growth companies, as well as the Fortune 100. We approach our work from a different perspective than that of many corporate law firms. Business Law attorneys work as members of a client’s strategic team, offering practical guidance regarding negotiation of the structural and financial components of a proposed transaction. Our capabilities and relationships in the investment and financial communities allow us to include business development and financing suggestions with our legal advice. Health Care and Life Sciences EBG was founded over 30 years ago as a law firm dedicated to the health care industry. Today, more than 100 of the firm’s 380 attorneys are full-time members of the Health Care and Life Sciences practice, ranking it one of the largest in the US. We have a substantial presence in Washington, DC; New York; Atlanta; San Francisco; Newark, New Jersey; Dallas; Houston; Los Angeles; and Chicago. Health Care and Life Sciences attorneys at EBG serve a wide spectrum of health care organizations, in capacities from general counsel to special counsel on particular complex issues. They are regularly tapped by the national media—60 Minutes, Good Morning America, Fox News Network, The Wall Street Journal, The Washington Post, The New York Times, Los Angeles Times, and USA Today—to provide commentary regarding the health care industry. EBG’s representation of its health care clients covers all aspects of the law affecting their business. Clients include hospitals and hospital systems, health maintenance organizations, long-term care and retirement facilities, preferred provider organizations, ambulatory care facilities, home care device and service supply companies, multispecialty group practices, healthcare e-commerce companies, individual practitioners, and utilization review organizations. The firm furnishes advice and guidance to insurance companies on health care-related issues and also represents state and national trade associations and professional societies active in health care policy issues. Labor and Employment Employers of all sizes require labor and employment counsel that can meet the challenges of the new global economy – both in the United States, and in every commercial center around the world. A web of confusing – and often conflicting – statutes and regulations covers virtually every aspect of the employment relationship. These rules vary from state to state, from nation to nation, from trading region to trading region, and the restrictions they impose can slow innovation, stifle business success and place the survival of any unsuspecting company at risk. EBG’s Labor and Employment practice is one of the largest in the world limited to the representation of management. More than half of the firm’s attorneys practice exclusively in the labor and employment field in our 10 offices nationwide. Supplementing these US capabilities, EBG maintains affiliations worldwide. Our clientele includes a large number of Fortune 500 companies and many others among the world’s largest multinational entities, spanning a variety of industries. But in addition to representing employers in labor and employment litigation, EBG offers preventive counsel and management training in all manner of human resources issues. The firm also provides representation in mediation, arbitration, and other forms of alternative dispute resolution (ADR), including private and public ADR fora, to ensure the client company’s employment matters are handled in the most cost-effective and confidential manner possible. Litigation Members of EBG’s Litigation practice are admitted to practice in more than 25 states, numerous federal district courts and every U.S. Circuit Court of Appeals, as well as the U.S. Court of Federal Claims and the U.S. Tax Court. Members of the Group are experienced practitioners before the U.S. Supreme Court. Our goal is to minimize litigation risks and resolve disputes in a way that makes our clients happy. We consider a litigation “victory” that results in an unhappy client to be a loss. At EBG, we believe that success is defined not only by the result achieved, but also by the manner in which it is attained. Our definition of success is predicated on meeting our clients’ broader needs and goals, including fiscal constraints and specific business objectives. Our lawyers get involved early on in a matter that may result in litigation to better advise our clients of the potential risks. Before the expenditure of large sums in legal fees, we evaluate the wisdom of settling early or of less costly alternatives to litigation. Litigation and government investigations will continue to be a serious risk and often an unfortunate cost of doing business in the 21st century. At the same time, litigation can also be an effective means of protecting valuable property rights. As former government attorneys and practicing trial lawyers, our litigators are well versed in the intricacies of modern investigations and litigations and well qualified to assist you in either defending when sued or using litigation affirmatively to accomplish your business objective. Real Estate Our real estate attorneys represent clients in many industries, including construction and development, financial services and institutional lending, healthcare, hospitality and resort, life insurance, manufacturing, real estate asset management, restaurant, retail, telecommunications, timber, and title insurance. EBG experience includes a wide range of commercial real estate transactions throughout the United States, including: Commercial Real Estate and Development, including acquisition, development, and disposition; commercial leasing and lending; environmental; land use and zoning; and public sector transactions; Healthcare Real Estate, including developing and financing healthcare facilities; leasing medical office buildings; and acquiring and selling multiple-property portfolios; Hospitality, Mixed-Use and Resort Development, including mixed-use governing structure and documentation; land sales compliance; amenity disposition and club membership programs; and condominium development and conversions. In addition to our extensive work in traditional real estate matters, we are recognized nationally for our experience in representing developers and lenders of large master-planned communities, resorts and golf course developments in projects throughout the United States and abroad. Likewise, our commercial lending practice extends beyond real estate to include asset-based lending secured by inventory, receivables and similar business assets. We also prepare and negotiate construction, architectural and engineering contracts on a regular basis. The Real Estate group at EBG is further experienced in helping clients manage their real estate portfolios by reviewing and summarizing their real estate files, assisting them in establishing real estate databases to track their properties, and identifying assets which may be eligible for sale as excess properties.
