Insolvencies Since the insolvency of the Herstatt Bank in 1974, which was the largest bank insolvency in post-war Germany, the fields of insolvency and reorganization law, particularly insolvency administration, have been a major focus of our activities. Our law firm is highly regarded both nationally and internationally for its expertise and experience with respect to the legal and commercial aspects of insolvency. KÜBLER occupies a top spot among the leading insolvency law firms as ranked by the 2008 “The legal 500 EMEA”. KÜBLER has emerged from many insolvency administrations with successfully reorganized companies. In addition to conventional “asset deals,” KÜBLER also makes use of insolvency plans in suitable cases. Due to the structure of the KÜBLER law firm, inter-regional competency teams can be formed in a short period of time to provide ongoing support to the local administrator or restructuring advisor in large insolvency cases. KÜBLER has been involved with cross-border insolvencies for years, and this practice has intensified since the European Insolvency Regulation (EIR) took effect. Beyond the area of insolvency management, we are also competent advisors, experts, and trial counsel with respect to all insolvency law matters arising in advance of and during insolvency proceedings. This includes management consulting and the creation of reorganization concepts. Corporate Corporate law is one of the pillars of our traditional spectrum of consulting services. The scope of our activities is based on the rights and needs of our clients and includes support in: - company start-ups, - corporate organizations and restructurings, - employee participation plans, - joint ventures, - organizing and conducting general shareholders’ meetings and other shareholder meetings, - corporate succession and succession in property rights, - liability of directors and officers, - raising capital / capital replacement, - liquidations. KÜBLER has many years of experience in organizing, implementing and following up on corporate acquisitions. We provide counseling on the complex processes of acquisitions, merger, and the sale of companies and parts of companies, including questions of financing. Mergers and Acquisitions KÜBLER also has special know-how with respect to mergers and acquisitions that take place in the course of insolvency proceedings (e.g., purchases from insolvency administrators). We form a team of specialists to support the project that is commensurate with the scale of the transaction. The assistance of additional specialists may also be called upon during the due diligence audits, which, as a rule, precede sales negotiations and the drafting of contracts.
